Freelance Service Agreement
1. Parties
This agreement is entered into between Your name (the "Freelancer") and Client name (the "Client"), collectively referred to as the "Parties."
2. Scope of Work
The Freelancer shall perform the services described in the agreed Statement of Work, including all deliverables, milestones, and acceptance criteria. Any changes to scope must be agreed upon in writing by both parties.
3. Payment Terms
A deposit of 50% of the total fee (project fee) is due before work begins. The remaining balance is due within 14 days of final delivery. Accepted payment methods include bank transfer and electronic payment systems. Invoices unpaid after 14 days will accrue interest at 1.5% per month.
4. Timeline & Deadlines
Work shall commence on start date. Key milestones and the final delivery date are as defined in the Statement of Work. Delays caused by the Client will result in a reasonable extension of deadlines.
5. Intellectual Property
All intellectual property rights in the deliverables transfer to the Client upon receipt of full payment. Until then, Your name retains all rights to the work.
6. Confidentiality
Both parties agree to keep confidential any proprietary information, trade secrets, or sensitive business materials shared during this engagement and not to disclose it to third parties without prior written consent.
7. Revisions
This agreement includes up to 2 rounds of revisions. Additional revisions requested beyond this scope will be billed at standard hourly rates.
10. Governing Law
This agreement shall be governed by the laws of United States. Any disputes shall be resolved through good-faith mediation before either party pursues legal action.
